Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Aubern LLC, a Florida limited liability company ("Aubern," "we," "us," or "our"), governing your access to and use of the Skejuhl platform at skejuhl.com ("Platform"). By creating an account or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

Skejuhl is a business-to-business (B2B) scheduling, billing, and field operations management platform offered by Aubern LLC for use by businesses, business owners, contractors, and other commercial users. The Platform provides:

• Personal workspace tools for individual business users including calendar, meetings, tasks, and mileage tracking
• Entity workspace tools including team scheduling, shift management, leave management, expense reporting, project management, and payroll
• Billable meeting creation with Stripe-powered payment pre-authorization and capture
• 1099 contractor payment infrastructure via Stripe Connect (Pro plan)
• W-2 payroll processing via payroll integration (Enterprise plan)

Paid subscriptions are offered exclusively for business and commercial use. The Platform is not intended for personal, family, or household purposes.

You must be at least 18 years of age to create an account or use the Platform. By creating an account, you affirmatively certify that you are 18 years of age or older and have the legal capacity to enter into this agreement. We may record the timestamp and IP address of your age certification for compliance purposes.

If you are using the Platform on behalf of a business entity, you represent and warrant that (a) you have authority to bind that entity to these Terms, (b) the subscription is purchased for business and commercial use, and (c) the Platform will not be used for personal, family, or household purposes.

The Platform is not directed to children. Aubern LLC does not knowingly permit access to or collect personal information from any person under the age of 18.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at hi@skejuhl.com of any unauthorized access to your account. We are not liable for losses resulting from unauthorized use of your account due to your failure to safeguard your credentials.

Entity Workspace Members. Account administrators and any user with permission to invite members to an entity workspace ("Inviters") represent and warrant that all individuals they invite are 18 years of age or older. Inviters are solely responsible for verifying the age and authority of invited members. Each invited member must independently certify that they are 18 years of age or older before joining a workspace.

Aubern LLC reserves the right to suspend or remove any account or workspace member found to be under 18 years of age, and to terminate any entity workspace that knowingly includes members under 18.

Paid subscriptions are offered solely for business and commercial use. By purchasing a subscription, the subscribing party represents and warrants that (a) the subscription is being purchased on behalf of a business, organization, or sole proprietorship, (b) the user has authority to bind that entity to these Terms, and (c) the Platform will be used for business purposes and not for personal, family, or household purposes.

Paid entity workspace features require a subscription. Current plans and pricing are available at skejuhl.com/pricing. All prices are in US dollars.

• Workforce Plan: $10.00/month base + $3.00/month per seat after the first included seat
• Pro Plan: $20.00/month base + $3.00/month per seat after the first included seat
• Enterprise Plan: $30.00/month base + $3.00/month per seat after the first included seat

Subscriptions are billed monthly in advance. Your subscription renews automatically at the end of each billing period unless you cancel. You authorize Aubern LLC to charge your payment method on file for recurring subscription fees.

Seat counts are calculated based on the number of active members in your entity workspace at the time of billing. Removing members before the next billing cycle will reduce your seat count for the following period.

Promotion codes may be applied at checkout when subscribing. Codes are subject to their stated terms including expiration dates, plan restrictions, and usage limits. Aubern LLC reserves the right to modify or discontinue promotional offers at any time. Codes have no cash value and are non-transferable.

Cancellation and refund terms are governed by our Refund Policy at skejuhl.com/legal/refund, which is incorporated herein by reference. Monthly subscriptions may be cancelled at any time. Cancelled subscriptions remain active through the end of the paid period. No prorated refunds are issued for partial months unless required by applicable law.

All payment processing is performed by Stripe, Inc. By using paid features, you agree to Stripe's Terms of Service at stripe.com/legal. Aubern LLC does not store payment card data. Stripe Connect services are subject to the Stripe Connected Account Agreement. For billing inquiries, contact billing@skejuhl.com.

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable law
• Impersonate any person or entity or misrepresent your affiliation
• Attempt to gain unauthorized access to any part of the Platform or other users' accounts
• Transmit any harmful, offensive, or disruptive content
• Use the Platform to facilitate fraudulent transactions or payments
• Reverse engineer, decompile, or attempt to extract source code from the Platform
• Use automated means to access the Platform without our written consent
• Violate any third-party rights including intellectual property rights

You retain ownership of content you create and upload to the Platform. By submitting content, you grant Aubern LLC a limited, non-exclusive license to store, process, and display that content solely for the purpose of providing the Platform services to you. You represent that you have all rights necessary to grant this license.

The Skejuhl platform, including its design, code, trademarks, and content created by Aubern LLC, is the property of Aubern LLC and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from any portion of the Platform without our express written consent.

The Platform integrates with third-party services including Stripe. Payroll integration services coming soon. Your use of these services is subject to their respective terms and privacy policies. Aubern LLC is not responsible for the availability, accuracy, or actions of third-party services. Any issues with Stripe payment processing should be directed to billing@skejuhl.com.

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. AUBERN LLC DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. YOUR USE OF THE PLATFORM IS AT YOUR SOLE RISK.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AUBERN LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL AUBERN LLC'S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO AUBERN LLC IN THE TWELVE MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless Aubern LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in connection with your use of the Platform, your violation of these Terms, or your violation of any rights of a third party.

Aubern LLC reserves the right to suspend or terminate your account at any time for violation of these Terms or for any conduct we determine to be harmful to the Platform, other users, or Aubern LLC. You may terminate your account at any time by contacting hi@skejuhl.com. Upon termination, your right to access the Platform ceases. Sections that by their nature should survive termination shall survive.

By purchasing a subscription, the subscribing party represents and warrants that (a) the subscription is being purchased on behalf of a business, organization, or sole proprietorship, (b) the user has authority to bind that entity to these Terms, and (c) the Platform will be used for business purposes and not for personal, family, or household purposes.

CLASS ACTION WAIVER: YOU AND AUBERN LLC AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING.

If the class action waiver is found unenforceable with respect to a particular claim, that claim shall be resolved in court rather than arbitration, but all other claims shall proceed in arbitration.

These Terms are governed by the laws of the State of Florida without regard to conflict of law principles. For any claims not subject to arbitration under Section 17, you consent to exclusive jurisdiction and venue in the state and federal courts located in Miami-Dade County, Florida. You waive any objection to jurisdiction or venue in such courts.

We may modify these Terms at any time. We will notify registered users of material changes via email and will update the effective date. Continued use of the Platform after changes constitutes acceptance. If you do not agree to updated Terms, you must stop using the Platform and may request account deletion.

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Aubern LLC regarding the Platform. If any provision is found unenforceable, the remaining provisions remain in full force. Our failure to enforce any provision is not a waiver of that provision. These Terms may not be assigned by you without our consent.
